Service Agreement

Terms and Conditions

1. Acceptance - acceptance of all listings by any employee of the Right Choice Senior Living, LLC is subject to review and approval by the Right Choice Senior Living, LLC management in its sole discretion.
   
   
2. Right Choice Senior Living LLC will refer prospective residents/clients to Customer Facility whenever it deems appropriate. Your facility shall thoroughly evaluate any prospective resident referred to it before admission to your facility.
   
   
3. FEE: Any resident referrals provided by Right Choice Senior Living, LLC who is admitted to your community within 18 months will be considered a bona fide referral.
   
   In exchange for a resident referral, Right Choice Senior Living, LLC will charge a fee equivalent to
   (1) a minimum of 55% of the monthly admission fee as per the client’s admission agreement including any charges for personal care services for any resident who resides in your facility for more than one calendar month. This monthly referral fee shall be based on “effective” admission rate, not on move-in specials or concessions. Higher referral fee listings will be displayed first and will be calculated based on a monthly rate of $3500. For example, if your facility pays a 75% referral fee and all other listings for your area pay 65%. Your listing will be displayed first.
   OR
   (2) $1900 per admitted resident referral, whichever is greater.
   
   If resident referral stays at your facility for less than one month, Right Choice Senior Living, LLC shall assess a referral fee of 20% of Customer Facility’s monthly charge. If resident referral stays at your facility for less than 10 days, Right Choice Senior Living, LLC shall not charge a referral fee so as long as Your facility has not collected ANY fees which do not exceed a 10 day stay
   
   
4. INVOICING: Any prospect that registers on the Right Choice Senior Living LLC web site or any of it affiliates, will be considered a payable referral once they move in.
   
   
5. PAYMENT: All fees are due on the date the resident moves in. Customer agrees to pay all amounts to the Right Choice Senior Living, LLC upon the date of receipt of the invoice/statement. If payment is not received within thirty (30) days after receipts of invoice/statement for any charges, the Right Choice Senior Living, LLC may, at its discretion, cancel the Customer's future listings (s) and charges for all prior advertising by the Customer will become immediately due and payable, in addition to other charges and legal costs provided herein. Following thirty (30) days written notice, Right Choice Senior Living, LLC may modify fees, and Customer shall pay fees unless Customer exercises its right to terminate this contract by providing Right Choice Senior Living, LLC written notice within thirty days of the notice.
   
   
6. Lead Generation System: You will be issued a unique user id and password to the Right Choice Senior Living, LLC Lead Generation System. This system will give you prospecting information on every member who registers on our system looking for senior housing and care options and who also gives us authorization to share their information with Facility Customers. The Lead Generation System will also give the Customer the ability to confirm all resident referrals.
   
   
7. Service/Late Fee: A service charge of 1.5% per month (18%/year) or the maximum rate allowed by law, will apply to all past due balances.
   
   
8. Guest Cards and Admission Applications: Right Choice Senior Living, LLC’s policy is to only invoice for a resident referral prospect if a Customer Facility did not indicate that a lead and/or referral from the Lead Generation System had previously visited Customer’s facility within 7 days of the lead registering with Right Choice Senior Living LLC AND IF one of the following occurs:
   
   1. The prospect specifically sites or verbally expresses Right Choice Senior Living LLC or one of its affiliates as the referral source. OR
   2. i. the Customer’s internal guest card system or admission agreement/application information annotates “internet”, “web”, “online” or is left blank AND
      ii. Right Choice Senior Living, LLC has a record of the prospect in the Lead Generation System
   
   A resident referral prospect shall be considered an original referral to customer’s facility if the resident referral or their responsible party has not had any contact with the customer’s facility prior to the date Right Choice Senior Living, LLC referred prospect. If resident referral prospect is referred to your facility by another referral source, Right Choice Senior Living, LLC will be considered the “proximate cause” and original referral source entitled to a FULL fee so as long as the resident referral had contact with Right Choice Senior Living, LLC prior to other service.
   
   
9. Copy and Material – Right Choice Senior Living, LLC reserves the right to revise or reject for any reason at its sole discretion any listing information submitted. All advertising material created by Right Choice Senior Living, LLC remains the property of the Right Choice Senior Living and may not be reproduced in any other publication, web site or material without the written consent from Right Choice Senior Living.
   
   
10. Applicable Law - This Agreement and all actions contemplated hereby shall be interpreted and construed in accordance with the laws of the California applicable to contracts made and to be performed entirely within California and without giving effect to its rules or principles regarding conflict of laws.
    
    
11. Attorney and Collection Fees - If for any reason payment is not made in full when due, the Customer agrees to pay any and all attorney and collection fees and any court costs incurred by the Right Choice Senior Living, LLC.
    
    
12. Customer facility agrees to not refer prospective clients referred to it by Right Choice Senior Living, LLC to other eldercare facilities. If customer facility knowingly refers a Right Choice Senior Living, LLC resident to another senior care facility or service and the customer is successfully placed at aforementioned senior care facility, then customer shall pay Right Choice Senior Living, LLC a fee equivalent to a 55% fee of resident’s monthly room charge.
    
    This agreement supercedes any prior written or oral agreement between Right Choice Senior Living LLC and Customer. Any modifications and/or terminations to this agreement must be in writing and signed by both parties. This 1 year agreement shall automatically renew for another year unless cancelled by either party in writing.
